Terms of Service

These Terms of Service ("Terms") govern your access to and use of the dcomply platform operated by Decipher Consultancy Services. Please read them carefully before using our services.

1. Acceptance of Terms

By accessing, browsing, or using the dcomply platform (available at dcomply.com) or any of its associated services, APIs, or mobile applications, you ("User", "you", "your") acknowledge that you have read, understood, and agree to be bound by these Terms of Service, together with our Privacy Policy.

If you are entering into these Terms on behalf of a company, organisation, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms. In such cases, "you" and "your" shall refer to that entity.

Agreement: If you do not agree with any part of these Terms, you must not access or use dcomply. Continued use of the platform constitutes acceptance of these Terms and any updates thereto.

2. About dcomply

dcomply is a Software-as-a-Service (SaaS) platform developed and operated by Decipher Consultancy Services, 295, Block C, Sushant Lok III, Sector 57, Gurugram, Haryana - 122003. The platform provides tools and services for compliance with the Digital Personal Data Protection Act, 2023 (DPDP Act), including but not limited to:

  • DPDP compliance assessments and readiness analysis
  • Consent management and audit trail recording
  • Data Subject Rights (DSR) request portal and workflow automation
  • Personal Identifiable Information (PII) discovery and scanning
  • Privacy policy generation and analysis
  • Compliance audit report generation
  • Vulnerability scanning and security assessment
  • Legal document drafting and review tools
  • DPDP Act research assistant

Not Legal Advice: dcomply provides compliance tools and educational resources. Our platform does not constitute legal advice. For specific legal guidance, you should consult a qualified legal professional. Use of dcomply does not create an attorney-client relationship.

3. Eligibility

To use dcomply, you must:

  • Be at least 18 years of age or the age of legal majority in your jurisdiction
  • Have the legal capacity and authority to enter into a binding agreement
  • Not be barred from using the services under the laws of India or any applicable jurisdiction
  • Provide accurate, current, and complete information as required during registration

dcomply is designed for business use (B2B). Individual consumers may use the platform, but our features and pricing are tailored for organisations seeking DPDP compliance.

4. User Accounts

4.1 Account Registration

To access platform features, you must create an account by providing your name, email address, organisation details, and a secure password. You agree to provide truthful and accurate information and to update it promptly if it changes.

4.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials. You must:

  • Use a strong, unique password and enable multi-factor authentication where available
  • Not share your login credentials with unauthorised individuals
  • Notify us immediately at [email protected] if you suspect unauthorised access
  • Log out from shared or public devices after each session

You are liable for all activities that occur under your account, whether or not authorised by you.

4.3 Team & Organisation Accounts

Organisation accounts may have multiple users with role-based access. The account administrator is responsible for managing user permissions and ensuring all team members comply with these Terms.

5. Subscriptions & Billing

5.1 Plans & Pricing

dcomply offers various subscription plans as described on our Pricing Page. Prices are quoted in Indian Rupees (INR) and are exclusive of applicable taxes (GST) unless stated otherwise.

5.2 Free Trial

We may offer a free trial period for new users. At the end of the trial, your account will require a paid subscription to continue accessing premium features. We will notify you before the trial expires.

5.3 Payment Terms

  • Payments are processed securely through Razorpay, our authorised payment gateway
  • Subscription fees are charged in advance on a monthly or annual basis depending on your plan
  • All payments are non-refundable except as expressly stated in our Refund Policy (see below)
  • You authorise us to charge your selected payment method for recurring subscription fees

5.4 Refund Policy

  • Annual Plans: You may request a full refund within 14 days of initial purchase if you have not substantially used the platform
  • Monthly Plans: No refunds for partial months. You may cancel at any time and retain access until the end of the current billing cycle
  • Downgrades: If you downgrade your plan, the new rate applies from the next billing cycle. No prorated refunds for the current cycle
  • Upgrades: When you upgrade to a higher plan mid-cycle, you are charged the full price of the new plan from the date of upgrade. Remaining days on your current plan are not credited or refunded. The new plan period begins on the upgrade date

5.5 Taxes

All fees are exclusive of taxes. You are responsible for all applicable taxes, including GST, based on your billing address. We will include applicable taxes in your invoices as required by Indian law.

6. Acceptable Use Policy

You agree to use dcomply responsibly and in compliance with all applicable laws. You must not:

  • Use the platform for any unlawful, fraudulent, or malicious purpose
  • Attempt to gain unauthorised access to any part of the platform, other user accounts, or our systems
  • Upload, transmit, or distribute any malware, viruses, or harmful code
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of the platform
  • Scrape, crawl, or use automated tools to extract data from the platform without written permission
  • Use the platform to infringe upon the intellectual property rights of any third party
  • Reproduce, duplicate, sell, resell, or exploit any portion of the service without express written consent
  • Interfere with or disrupt the integrity or performance of the platform
  • Impersonate any person or entity, or falsely state or misrepresent your affiliation with a person or entity
  • Use the platform in a manner that violates the DPDP Act or any other applicable data protection legislation

Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account without notice or refund.

7. Your Data & Content

7.1 Ownership

You retain all rights to the data and content you upload, submit, or generate through dcomply ("Your Data"). We do not claim ownership of Your Data.

7.2 Licence Grant

By uploading Your Data to dcomply, you grant us a limited, non-exclusive, worldwide licence to host, store, process, and display Your Data solely for the purpose of providing and improving our services. This licence terminates when you delete Your Data or close your account.

7.3 Data Processing

We process Your Data in accordance with our Privacy Policy and applicable data protection laws. Where we act as a Data Processor on your behalf, the terms of our Data Processing Agreement shall apply.

7.4 Data Portability

You may export Your Data at any time through the platform's export functionality. Upon account closure, we will provide a reasonable period (30 days) for you to download your data before permanent deletion.

7.5 Responsibility

You are solely responsible for the accuracy, legality, and appropriateness of Your Data. You represent that you have all necessary rights and permissions to upload and share Your Data with us.

8. Intellectual Property

All intellectual property rights in the dcomply platform, including the software, design, user interface, documentation, logos, trademarks, and all generated content templates, are and shall remain the exclusive property of Decipher Consultancy Services.

  • The dcomply name, logo, and brand elements are trademarks of Decipher Consultancy Services
  • Our platform code, algorithms, and proprietary processes are protected by intellectual property laws
  • Compliance report templates, assessment frameworks, and educational content created by us are our intellectual property
  • You may use reports and documents generated through the platform for your own business purposes, but may not resell or redistribute the templates themselves

Nothing in these Terms grants you any right, title, or interest in our intellectual property except the limited licence to use the platform as per your subscription.

9. Confidentiality

Both parties agree to maintain the confidentiality of any confidential information exchanged during the use of dcomply. Confidential information includes:

  • Your business data, compliance assessments, and uploaded documents
  • Our proprietary technology, algorithms, pricing structures, and business strategies
  • Any information marked as "Confidential" or that would reasonably be understood as confidential

This obligation of confidentiality does not apply to information that is publicly available, independently developed, rightfully received from a third party, or required to be disclosed by law or court order.

10. Service Levels & Availability

We strive to maintain high availability and performance of the dcomply platform:

  • Uptime Target: We target 99.9% platform availability, excluding scheduled maintenance windows
  • Scheduled Maintenance: We schedule maintenance during off-peak hours (typically 2:00 AM - 5:00 AM IST on weekends) and will provide at least 24 hours advance notice
  • Support Hours: Our support team is available Monday to Friday, 9:00 AM to 6:00 PM IST, and via email 24/7 for critical issues
  • Incident Response: Critical issues (platform down), response within 1 hour. High priority, within 4 hours. Standard, within 24 hours

11. Warranties & Disclaimers

11.1 Our Warranty

We warrant that dcomply will perform materially in accordance with its documentation and that we will provide the services with reasonable skill and care.

11.2 Disclaimers

EXCEPT AS EXPRESSLY PROVIDED HEREIN, THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO:

  • Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
  • Warranties that the service will be uninterrupted, error-free, or completely secure
  • Warranties regarding the accuracy, completeness, or reliability of any compliance assessments or reports generated

Compliance Disclaimer: While dcomply assists in achieving DPDP Act compliance, we do not guarantee that use of our platform will result in full regulatory compliance. Compliance depends on many factors specific to your organisation, including implementation, policies, and practices beyond the scope of our tools.

12. Limitation of Liability

12.1 Cap on Liability

To the maximum extent permitted by applicable law, the aggregate liability of Decipher Consultancy Services for any claims arising out of or related to these Terms or your use of dcomply shall not exceed the total fees paid by you in the 12 months preceding the claim.

12.2 Exclusions

In no event shall Decipher Consultancy Services be liable for any:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, business, or anticipated savings
  • Damages arising from your failure to maintain the security of your account
  • Damages resulting from regulatory penalties or fines imposed on your organisation
  • Losses arising from force majeure events (natural disasters, pandemics, government actions, internet outages)

12.3 Essential Basis

These limitations of liability form an essential basis of the agreement between you and Decipher Consultancy Services and shall apply regardless of the legal theory upon which the claim is based.

13. Indemnification

You agree to indemnify, defend, and hold harmless Decipher Consultancy Services, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from:

  • Your use of the dcomply platform in violation of these Terms
  • Your violation of any applicable law, regulation, or third-party rights
  • Any data or content you upload, submit, or transmit through the platform
  • Your negligence or wilful misconduct in connection with using the platform

14. Termination

14.1 By You

You may terminate your account at any time by contacting us at [email protected] or through your account settings. Upon termination:

  • Your access to premium features will cease at the end of the current billing cycle
  • You will have 30 days to export your data before permanent deletion
  • No refund is due for the remaining portion of a monthly billing cycle

14.2 By Us

We may suspend or terminate your access to dcomply, without prior notice, if:

  • You breach any provision of these Terms
  • You engage in fraudulent, illegal, or harmful activity
  • Your account shows no activity for 12 consecutive months
  • Required by law, regulation, or court order

14.3 Effect of Termination

Upon termination, the following provisions shall survive: Intellectual Property, Confidentiality, Limitation of Liability, Indemnification, Governing Law, and any other provisions that by their nature should survive termination.

15. Governing Law & Dispute Resolution

15.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles.

15.2 Jurisdiction

Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Gurugram, Haryana, India.

15.3 Dispute Resolution

Before initiating formal legal proceedings, both parties agree to attempt to resolve any dispute through good-faith negotiation for a period of 30 days. If the dispute cannot be resolved through negotiation, either party may pursue arbitration under the Arbitration and Conciliation Act, 1996, with the seat of arbitration being Gurugram, India.

16. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make changes:

  • We will update the "Last Updated" date at the top of this page
  • For material changes, we will notify registered users via email at least 15 days before the changes take effect
  • We will display a prominent notice on the dcomply platform
  • Continued use of the platform after the effective date constitutes acceptance of the updated Terms

If you disagree with the updated Terms, you may terminate your account before the changes take effect.
